the person who wants to take a listed company private have to buy up all the shares from the market, he only have 20% plus of KNM shares, means he needs to buy more than 70% of KNM shares to take it private, KNM has total of 4 billion shares. If he offer 90sen for each share, how many billions does he need to come out with ? Where is he going to get so much money from ?

This sounds like what Ananda Krishnan did to Maxis 2/3 years ago. Ananda found Arabian company who wants to buy 15% of Maxis. Then, he gave just 15% premium over the price of Maxis the day b4 his announcement of privatisation. Two weeks after he finished the whole process of privatisation, he announced of the buyer from Middle East's intention when Maxis is no longer in KLSE. He earn a whopping few billions ringgit just in 2 weeks. The premium is just 15%. The Maxis he listed right now is just consisting of local business. Now, the retail shareholder of KNM is telling Mr Lee that he gave too much premium at 90cents.

Yes, it should have been. However, the retail investors seemed to have panicked due to general correction on KLSE, started 2 weeks ago. Therefore, the announcement of privatisation only managed to dragged the share price higher at 10%.

It is the low PE of KNM that attract me to the share at the first place. I went in when the PE was around 8. However, I hold KNM in intention to sell when it reaches 83-85cents but the privatisation proposal came in as surprise. At the moment, the general market sentiments won't affect it so much. So, will keep collecting if it touch 80cents.

KNM hit a bad patch the last 2 years. Its big acquisition of Borsig coincided with the world market crash. Its revenue, earnings and its share price fell too. Its debts ballooned.
Yet, the offer to take this company private surprised the market. It was announced on Friday when the market sentiment was decidedly poor.
At 90c per share, what should those holding the shares do? Many investors will be happy to cash out higher than what the market has been offering recently. Others may not.. they feel that this price has not priced in the future prospects of this company. This sector is cyclical and will recover.
There is also the theoretical risk that Mr. Lee may not be able to raise the required huge funds to take this company private. We will need more details of the whole exercise.

Lee's offer for KNM: Funding may still be an issue
THE market in general thinks KNM Bhd's (7164) founder, Lee Swee Eng, made a "fair" offer to buy over the company, but most say like in the past, his stumbling block may still be funding.
Lee made a RM3.6 billion offer on Thursday for KNM, or about 90 sen a share.
Analysts said they were not shocked with Lee's offer, given that he had previously made the same move, only to be frustrated with the lack of available fund.
While there is a possibility that KNM's share price could move towards the purchase price of 90 sen per share following the announcement on Thursday, AmResearch said it is uncertain that this offer will be realised. The process equipment maker has received a proposal from BlueFire Capital Group Ltd, which is controlled by Lee who owns a 24 per cent stake in KNM, to buy all of its business and undertakings for 90 sen per share.
AmResearch said in the past, Lee had mentioned that he was willing to privatise KNM if financial institutions supported him.
"Even so, we are surprised by this latest development. We spoke to KNM's management and they seemed as surprised as us," AmResearch said.
It said the offer price looks fair, 10 per cent above fair value of 82 sen per share and 20 per cent above Thursday's closing price.
"So pending further details on the offer, we maintain a 'hold' call on KNM with an unchanged fair value of 82 sen per share, pegged to a financial year 2010 price-earnings ratio (PER) of 13 times - a 7 per cent discount to KNM's three year average PER of 14 times," AmResearch said.
OSK Research said Lee offer price is close to its target price on the company of 93 sen per share, based on a PER of 12 times financial year 2010-earnings per share (EPS).
At the current price of 75 sen, OSK said KNM is trading close to a PE ratio of 10 times financial year 2010 EPS, with is in line with the oil and gas sector average.
"Nevertheless, we believe KNM deserves to trade at a higher PER valuation compared to its peers given its diversified global market presence and product lines, which would significantly reduce its reliance on a single customer," OSK said.
With Lee only formally controlling 25.35 per cent of the company, OSK said he would need to fork out RM2.7 billion to buy over the balance 74.65 per cent not owned by him.
"We are unaware of his private financial position but we understand from the Bursa announcement that this proposal will be subject to his receiving firm financing commitments, besides completing a satisfactory due diligence," OSK said

I already say he has no money to take the company private back then, true enough they admited now that he cant get funding to take it private at 90sen. What if he try again at 70sen ? At 70 sen and an improved book order ... possibility is there. Even if he lied again, many people might still fall for it... just like when people fall for it when he talk about GO at 90sen.
